Terms of Service

Effective date: April 19, 2026

These Terms of Service (“Terms”) form a binding agreement between Qmodi Inc., a Nevada corporation (“Qmodi,” “we,” “us,” or “our”), and you, the individual or entity that accesses or uses the PreTrip website, admin dashboard, and mobile applications (collectively, the “Services”). By creating an account, downloading the app, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally permitted to operate a commercial motor vehicle in the jurisdictions where you drive. If you use the Services on behalf of a motor carrier or other entity, you represent that you are authorized to bind that entity to these Terms.

2. Accounts

You must provide accurate information when registering and keep it current. You are responsible for all activity that occurs under your account and for safeguarding access to the email address used for one-time passcode sign-in. Notify us immediately at support@pretrip.net if you suspect unauthorized access.

3. Permitted use

The Services are intended for lawful use by commercial motor vehicle drivers and their employing motor carriers to:

  • Perform and record pre-trip and post-trip vehicle inspections.
  • Document Driver Vehicle Inspection Reports (DVIRs) and maintain inspection records.
  • Share inspection records with the motor carrier that employs the driver.

The Services are not a substitute for the driver’s legal duty to physically inspect the vehicle under 49 C.F.R. Parts 392 and 396.

4. Prohibited conduct

You agree not to:

  • Record inspections of vehicles you are not authorized to operate or inspect.
  • Submit falsified inspections, tamper with recordings, or attempt to circumvent the checklist, timestamp, or location-verification features.
  • Record any person (other than yourself) without providing notice required by applicable law.
  • Upload content that infringes intellectual property rights, violates privacy laws, or contains unlawful, harmful, or fraudulent material.
  • Reverse engineer, decompile, scrape, probe, or interfere with the Services, or access them by any means other than the official app and website.
  • Resell, sublicense, or commercially redistribute the Services without our prior written consent.

5. Your content

You retain ownership of the inspection video, audio, photos, and text you submit (“Your Content”). You grant Qmodi a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and create derivative works of Your Content solely to operate, maintain, improve, and provide the Services to you and to your motor carrier. We do not claim ownership of Your Content and do not use it to train generative models offered to third parties.

You represent that you have all rights necessary to submit Your Content and to grant the license above, and that Your Content does not violate any law or third-party right.

6. Motor carrier relationships

If you use the Services as an employee or contractor of a motor carrier that has a PreTrip account, you acknowledge that the carrier may access, review, export, and retain inspections you submit on its behalf, and that the carrier, not Qmodi, determines the retention period for those inspections subject to applicable law.

7. Fees

Access to the Services may be provided free of charge, by subscription, or on another basis described at signup or in a separate agreement with your motor carrier. If a fee applies, you agree to pay all charges on the terms presented at the time of purchase. Fees are non-refundable except as required by law.

8. Service availability and modifications

We work to keep the Services available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may update these Terms from time to time by posting a revised version; material changes will be announced in-app or by email. Continued use after an update constitutes acceptance.

9. Intellectual property

The Services, including software, text, graphics, logos, and the PreTrip name, are owned by Qmodi or its licensors and are protected by intellectual property laws. Except for the limited license to use the Services granted to you in these Terms, no rights are transferred to you.

10. Privacy

Our Privacy Policy explains how we collect, use, and share information about you and is incorporated by reference into these Terms.

11. Third-party services

The Services integrate with third-party providers (see the Privacy Policy for a list). Those providers operate under their own terms, and we are not responsible for their acts or omissions.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, QMODI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT RECORDINGS WILL BE PRESERVED WITHOUT LOSS. PRETRIP IS A DOCUMENTATION TOOL; IT DOES NOT REPLACE THE DRIVER’S LEGAL DUTY TO PHYSICALLY INSPECT THE VEHICLE AND TO REPORT DEFECTS, AND IT DOES NOT GUARANTEE REGULATORY COMPLIANCE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QMODI AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

14. Indemnification

You agree to defend, indemnify, and hold harmless Qmodi from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising out of (i) Your Content, (ii) your use of the Services, (iii) your violation of these Terms, or (iv) your violation of any law or third-party right.

15. Termination

You may stop using the Services at any time and delete your account from the in-app Settings or by emailing support@pretrip.net. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us, or if we are required to do so by law. Sections that by their nature should survive termination (including Sections 5, 9, 12, 13, 14, and 16) will survive.

16. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws principles. The exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Carson City, Nevada, and you consent to personal jurisdiction there.

Informal resolution. Before filing any claim, you agree to contact us at support@pretrip.net and attempt in good faith to resolve the dispute informally for at least 30 days.

17. Apple and Google app-store terms

If you downloaded the mobile app from the Apple App Store or Google Play, the following apply in addition to these Terms:

  • These Terms are between you and Qmodi, not Apple or Google, and Qmodi is solely responsible for the app.
  • Apple and Google have no obligation to provide support or maintenance for the app.
  • In the event the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation.
  • Apple and Google, and their subsidiaries, are third-party beneficiaries of these Terms and may enforce them against you.

18. Miscellaneous

These Terms are the entire agreement between you and Qmodi regarding the Services and supersede prior agreements. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
